CONSTITUTION
of the
CHARLESTON CONTRACTORS’ ASSOCIATION
ARTICLE I: NAME
The name of the association shall be the Charleston Contractors’ Association.
ARTICLE II: OBJECT
The purpose of the Charleston Contractor’s Association shall be to advance, protect, educate, and serve the business of construction contracting in general in the Charleston/Berkeley/Dorchester Counties Area, by the dissemination of related information, presenting a united front in the interest of its business, by the negotiation of wage rates with labor unions, and by taking action in the name of the Association in the best interest to the greater number of its members.
ARTICLE III: MEMBERS
(a) GENERAL CONTRACTORS: Any general contractor engaged in the business of general contracting in the Charleston/Berkeley/Dorchester Counties Area shall be eligible for membership in the Association.
(b) SUB-CONTRACTOR: Any person or firm engaged in the business of sub-contracting in the Charleston/Berkeley/Dorchester Counties Area shall be eligible for membership in the Association.
(c) SUPPLIERS: Any person or firm engaged in the business of supplying building materials or other construction supplies to contractors, and doing business in the Charleston/Berkeley/Dorchester Counties Area shall be eligible for Associate membership in the Association. Associate membership shall be on an annual basis only. Associate members shall not have the right to vote in the Association.
ARTICLE IV: OFFICERS AND THEIR ELECTION
A. The officers shall consist of:
1. President
2. Vice President
3. Secretary/Treasurer
B. The election of officers shall take place at the Annual Meeting and shall be by ballot only and a majority of the vote cast shall be required to elect. Officers elected shall hold office until adjournment of the next annual meeting or until their successors are elected and qualify.
C. All officers required by the constitution to be elected from the membership shall be nominated as follows:
(a) By a standing Nominating Committee, consisting of the immediate three (3) past presidents of the Association, or
(b) Nomination from the floor by any member in good standing.
ARTICLE V: STANDING
COMMITTEES
The standing committees shall consist of the following:
(a) Wage Negotiation Committee
(b) Membership Committee
(c) Apprenticeship Committee
(d) Program Committee
(e) Entertainment Committee
The chairman and members of such committee shall be appointed by the incoming President at the Annual Meeting or immediately thereafter to serve during the term of the President.
ARTICLE VI: EXECUTIVE
COMMITTEE
The Executive Committee shall consist of the Vice President, Secretary/Treasurer and the immediate three past Presidents of the Association.
ARTICLE VII: MEETINGS
A. Annual: There shall be held on the first (1st) Monday in December, each year, a meeting called the Annual Meeting.
B. Special: Special meetings may be called by (a) the President whenever he may deem it necessary, or shall be called (b) upon the written request of five (5) members in good standing. Notice in writing of the time, place and purpose of such Special Meeting shall be mailed to each member at least seven (7) days prior to such meeting and no business shall be transacted at such meeting except the business set forth in the notice; provided, that, with the unanimous consent of the members present at such meeting, other business may be transacted.
C. Regular: Regular meetings shall be held on the first (1st) Monday of each month, at which time the minutes of the preceeding meeting shall be read. The Annual Meeting in December shall be in lieu of the Regular Meeting.
D. In the event of any conflict with meeting dates that would seriously affect attendance, the Executive Committee shall have the authority to change the meeting date after reasonable notice to the members.
ARTICLE VIII: AMENDMENTS
The constitution may be amended as follows:
The proposed amendments shall be presented in writing to the President signed by at least two members. After such presentation the President shall present same at next regular or special meeting and then prepare a written ballot containing the resolution and forward the same to each member of the Association for their vote to be returned to the Association on or before the thirtieth day after receipt. The amendments must be approved by two-thirds (2/3rds) majority or the membership eligible to vote.
